Welcome to CredX Health. These Terms of Service (“Terms”) govern your access to and use of the CredX Health website, platform, software, and related services (collectively, the “Services”).

By accessing or using our Services, you agree to comply with and be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Eligibility

You must be at least 18 years old and authorized to enter into legally binding agreements to use our Services.

The Services are intended for healthcare organizations, healthcare professionals, administrative staff, and authorized business users operating within the United States.

Use of Services

CredX Health provides credentialing, provider data management, workflow automation, compliance monitoring, reporting, and related healthcare operational tools.

You agree to use the Services only for lawful purposes and in compliance with all applicable federal, state, and local laws and regulations.

You agree not to:

  • Use the Services for unlawful, fraudulent, or unauthorized activities
  • Attempt to gain unauthorized access to systems or data
  • Interfere with platform operations or security
  • Upload malicious code or harmful content
  • Misrepresent provider, credentialing, or organizational information
  • Violate healthcare privacy or confidentiality obligations

Account Responsibilities

Users are responsible for:

  • Maintaining the confidentiality of login credentials
  • Restricting unauthorized access to accounts
  • Ensuring submitted information is accurate and current
  • Promptly notifying CredX Health of suspected unauthorized access or security incidents

CredX Health is not responsible for losses caused by unauthorized use resulting from failure to maintain account security.

Healthcare Compliance

Customers are solely responsible for ensuring their use of the Services complies with applicable healthcare laws and regulations, including but not limited to:

  • HIPAA
  • HITECH Act
  • CMS regulations
  • State healthcare licensing requirements
  • Payer credentialing requirements

CredX Health provides tools designed to support operational and compliance workflows but does not provide legal, regulatory, or medical advice.

Data & Customer Content

Customers retain ownership of their submitted data, provider information, and uploaded content ('Customer Content').

By using the Services, you grant CredX Health a limited license to process, store, and transmit Customer Content solely for the purpose of providing and improving the Services.

You represent that:

  • You have rights and authority to upload Customer Content
  • Customer Content does not violate laws or third-party rights
  • Submitted information is accurate and lawful

Privacy & Security

Use of the Services is also governed by our Privacy Policy.

CredX Health implements commercially reasonable administrative, technical, and organizational safeguards designed to protect information and maintain platform security.

However, no internet-based service can guarantee absolute security.

AWS Cloud Infrastructure

CredX Health may utilize Amazon Web Services (AWS) infrastructure to host and operate portions of the Services.

Customers acknowledge that data may be processed and stored using secure cloud environments operated by trusted third-party infrastructure providers.

Service Availability

We strive to maintain reliable platform availability but do not guarantee uninterrupted or error-free operation.

CredX Health may perform maintenance, updates, modifications, or temporary suspensions necessary to improve or secure the Services.

Intellectual Property

All platform content, software, trademarks, branding, workflows, designs, graphics, and related intellectual property are owned by CredX Health or its licensors.

Users may not:

  • Copy or reproduce platform materials without authorization
  • Reverse engineer or modify the software
  • Use CredX Health branding without written permission
  • Resell or sublicense the Services unless authorized

Third-Party Services

The Services may include integrations, links, or connections with third-party platforms or services.

CredX Health is not responsible for the availability, security, accuracy, or practices of third-party services.

Fees & Payments

If applicable, customers agree to pay all fees associated with subscribed Services according to executed agreements or pricing terms.

Failure to pay applicable fees may result in suspension or termination of Services.

Termination

CredX Health may suspend or terminate access to the Services if:

  • These Terms are violated
  • Unauthorized or unlawful activity is detected
  • Platform security or integrity is at risk
  • Required payments are not made

Customers may discontinue use of the Services according to applicable agreements.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREDX HEALTH DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

CredX Health does not guarantee:

  • Regulatory approval outcomes
  • Payer enrollment decisions
  • Credentialing approvals
  • Error-free operation
  • Uninterrupted availability

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, CREDX HEALTH SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITIES
  • BUSINESS INTERRUPTION
  • SECURITY INCIDENTS CAUSED BY THIRD PARTIES
  • DELAYS CAUSED BY REGULATORY OR PAYER ENTITIES

CREDX HEALTH’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some U.S. states may not allow certain limitations, so portions of this section may not apply where prohibited by law.

Indemnification

You agree to indemnify and hold harmless CredX Health, its affiliates, employees, officers, and partners from claims, damages, liabilities, and expenses arising from:

  • Your use of the Services
  • Violation of these Terms
  • Violation of applicable laws or regulations
  • Customer Content submitted through the platform

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the United States and applicable state laws, without regard to conflict of law principles.

Where required by applicable law, certain state-specific consumer protections may apply.

Dispute Resolution

Before initiating legal proceedings, parties agree to attempt good-faith resolution of disputes.

Any disputes arising from these Terms may be resolved through binding arbitration or courts of competent jurisdiction, subject to applicable federal and state laws.

Nothing in these Terms limits rights that cannot legally be waived under applicable U.S. law.

Changes to Terms

CredX Health may update these Terms periodically.

Updated versions will be posted with a revised effective date. Continued use of the Services after updates constitutes acceptance of the revised Terms.
